IMPORTANT NOTICE
BY DOWNLOADING, INSTALLING, ACCESSING, OR USING GATEKEEPER SOFTWARE OR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SOFTWARE OR SERVICES.
1. Definitions
"Gatekeeper" refers to the authentication software, client applications, server components, licensing mechanisms, and related materials provided under this agreement. "User" refers to any individual or entity that installs, accesses, or uses Gatekeeper. "Software" refers to all executable code, installers, updates, and associated files distributed as part of Gatekeeper. "Services" refers to licensing, activation, verification, and related functionality associated with Gatekeeper.
2. License Grant
Gatekeeper grants the User a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely in accordance with these Terms and any applicable license or subscription conditions. This license does not convey ownership of the Software or any intellectual property rights.
3. License Restrictions
The User may not copy, modify, translate, or create derivative works of the Software; reverse engineer, decompile, or disassemble the Software except where prohibited by law; circumvent licensing, activation, or access controls; use the Software for unlawful, fraudulent, or abusive purposes; or resell, sublicense, lease, or distribute the Software without written authorization.
4. Proprietary and Trade Secret Status
Gatekeeper Software and Services constitute proprietary, confidential, and trade secret software. All non-public aspects of the Software, including its design, behavior, logic, workflows, and internal processes, are protected trade secrets. Unauthorized disclosure or analysis may result in civil liability, criminal penalties, and injunctive relief.
5. Export Control and National Security Restrictions
Gatekeeper Software and Services are restricted from export, transfer, or access outside the United States. The User agrees not to export, re-export, transmit, or allow access to the Software or Services outside the United States. Violations of United States export control or national security laws may result in severe civil and criminal penalties, including fines and imprisonment.
6. Ownership and Intellectual Property
The Software and Services are protected by copyright, trade secret, and other intellectual property laws. All rights, title, and interest remain exclusively with Gatekeeper.
7. Subscriptions and Fees
Certain uses of Gatekeeper require an active subscription or license. Failure to maintain an active license may result in suspension or termination of access.
8. Updates and Modifications
Gatekeeper may provide updates or modifications to maintain functionality, security, or compatibility. Continued use may require installation of updates.
9. Termination
This agreement remains in effect until terminated. Gatekeeper may suspend or terminate the license for violation of these Terms. Upon termination, all use must cease and all copies must be deleted.
10. Disclaimer of Warranties
THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Limitation of Liability
GATEKEEPER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE USER DURING THE TWELVE MONTHS PRECEDING THE CLAIM.
12. User Responsibility
The User is responsible for maintaining the security of systems in which the Software is used. Gatekeeper is not responsible for misuse or misconfiguration.
13. Compliance With Laws
The User agrees to comply with all applicable laws, including export control and national security laws.
14. Severability
If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
15. Entire Agreement
These Terms constitute the entire agreement regarding use of the Software and Services and supersede all prior agreements or understandings.
